Client Agreement for 624 Visionaries, LLC

This Client Agreement ("Agreement") is made and entered into between all current and future clients, hereinafter referred to as "Client," and 624 Visionaries, a creative consulting and business coaching firm, hereinafter referred to as "624 Visionaries."

  1. Scope of Services: Client agrees to engage 624 Visionaries to provide creative consulting and business coaching services as outlined in the proposal or service package selected by the Client.

  2. Payment and No Refund Policy: Client agrees to pay the agreed-upon fees for the services provided by 624 Visionaries. All payments are non-refundable. No refunds will be provided for any reason, including but not limited to dissatisfaction with the services, changes in business circumstances, or early termination of the agreement.

  3. Dissatisfaction Clause:

    1. At 624 Visionaries, our utmost priority is to provide exceptional services and support to our clients. We strive to exceed your expectations and deliver value that empowers you in your business journey. However, in the unlikely event that you are dissatisfied with any aspect of our services, we encourage open communication to address your concerns promptly.

    2. If you find any areas of dissatisfaction, please follow these steps:

      1. Notify Us: Inform your dedicated consultant or the 624 Visionaries representative in writing about the specific issue(s) that have led to your dissatisfaction. Provide detailed information to help us better understand your concerns.

      2. Resolution Process: Upon receipt of your dissatisfaction notice, we will initiate a resolution process to address the issues raised. Our team will review the matter thoroughly and work diligently to find a satisfactory solution.

      3. Open Dialogue: We value your feedback and perspective. Throughout the resolution process, we encourage open and constructive dialogue between you and our team to ensure a clear understanding of the situation.

      4. Resolution Options: Depending on the nature of the dissatisfaction, resolution options may include service adjustments, modifications, or alternative approaches that align with your expectations.

      5. Continued Support: Rest assured that our commitment to your success remains unwavering. Even during the resolution process, we will continue to provide you with the highest level of support and service.

    3. We genuinely appreciate your feedback, as it helps us continually improve our services and ensure client satisfaction. Your success is our success, and we are dedicated to working together towards achieving your goals.

    4. Please note that this dissatisfaction clause is intended to foster a transparent and collaborative approach to resolving any issues that may arise during our engagement. We believe in the power of effective communication and look forward to addressing any concerns promptly and professionally.

  4. Payment Plan Agreement:

    1. This Payment Plan Agreement ("Agreement") is made and entered into between current and future clients, hereinafter referred to as the "Client," and 624 Visionaries, a creative consulting and business coaching firm, hereinafter referred to as "624 Visionaries."

    2. Scope of Services: Client agrees to engage 624 Visionaries for the provision of high-priced services, which shall be broken down into distinct phases based on the agreed-upon scope and deliverables.

    3. Payment Plan: Client acknowledges that the total cost of the services may be significant. To facilitate payment, the total cost will be divided into three to five (3-5) phases. The payment schedule will be determined at the time of signed agreement.

    4. No Advance Completion: Client acknowledges that the full scope of the services will only be delivered upon successful completion of all payment phases. Any additional work beyond what has been paid for will not be provided until the respective phase payment is received.

    5. Suspension of Services: In the event that Client fails to make timely payments as per the agreed-upon schedule, 624 Visionaries reserves the right to suspend the provision of services until payment is received. Services will resume promptly upon the receipt of the outstanding payment.

    6. Late Payment Fees: Client agrees to pay a late payment fee of $50 for any payment that is not received by the specified due date. Late payment fees will be added to the outstanding balance and must be paid before services can resume.

    7. Termination of Services: In the event that Client fails to make a payment within 30 days of the due date or fails to fulfill any other obligations under this Agreement, 624 Visionaries reserves the right to terminate the Agreement and cease all further services.

    8. No Refunds: Client acknowledges and agrees that all payments made under this Agreement are non-refundable, regardless of the completion status of the project.

    9. Additional Expenses: Client shall be responsible for any additional expenses incurred during the project's course that are beyond the agreed-upon scope of services and payment plan. Such additional expenses will be discussed and agreed upon in writing before any additional work is undertaken.

    10. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of Illinois, United States.

  5. Delay of Services Clause:

    1. In the event that a client fails to provide necessary deliverables, information, or cooperation required to complete the services as outlined in the agreement with 624 Visionaries, the following Delay of Services Clause shall apply:

      1. Client Responsibilities: Client acknowledges and agrees to fulfill their responsibilities as outlined in the agreement with 624 Visionaries. These responsibilities may include but are not limited to providing timely feedback, necessary information, materials, and any other deliverables required to proceed with the project.

      2. Client Communication: Client agrees to maintain open and regular communication with the consultant assigned to their project. If Client anticipates any delays in providing necessary deliverables or information, they shall promptly notify 624 Visionaries in writing and provide an updated timeline for delivery.

    2. Delay of Services: If Client fails to provide necessary deliverables or information within7 days from the agreed-upon deadline, 624 Visionaries reserves the right to delay the provision of services until the required items are received.

    3. Extension of Timeline: In the event of delays caused by the Client's failure to provide necessary deliverables or information, the timeline for the project will be extended by an equivalent number of days to account for the delay.

    4. No Refunds: Client acknowledges that any delays caused by their failure to fulfill their responsibilities under this Agreement shall not entitle them to a refund or reduction in the fees agreed upon for the services.

    5. Project Completion: The project will be considered completed within the original timeframe agreed upon only if the Client promptly provides all necessary deliverables, information, and cooperation required to proceed with the services.

    6. Termination of Agreement: If the Client's failure to provide necessary deliverables or information results in a prolonged delay that significantly impacts the project timeline, 624 Visionaries reserves the right to terminate the Agreement. In such cases, any outstanding payments will still be due, and no refunds will be issued.

    7. Force Majeure: This Delay of Services Clause shall not apply in situations of force majeure, including but not limited to natural disasters, acts of terrorism, or other unforeseen events beyond the Client's control.

  6. Confidentiality: Both parties agree to keep all information shared during the course of the engagement confidential and not disclose it to any third party without prior written consent, except as required by law.

  7. Termination: Either party may terminate this Agreement with written notice to the other party. In the event of termination, Client will be responsible for any outstanding payments for services rendered up to the date of termination.

  8. Intellectual Property: Any materials, documents, or intellectual property provided by 624 Visionaries during the engagement remain the property of 624 Visionaries. Client agrees not to reproduce, distribute, or share these materials without prior written consent.

  9. Non-Compete: During the term of this Agreement, Client agrees not to engage in business coaching, consulting, or any similar activities that directly compete with the services provided by 624 Visionaries.

  10. Limitation of Liability: In no event shall 624 Visionaries be liable for any indirect, special, incidental, or consequential damages arising out of or related to the services provided under this Agreement.

  11. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of Illinois, United States.

  12. Entire Agreement: This Agreement constitutes the entire understanding between Client and 624 Visionaries and supersedes all prior agreements, understandings, and representations.

By purchasing services and/or entering into a payment plan agreement, the Client acknowledges that they have read, understood, and agreed to the terms and conditions outlined in this Agreement. Rendering of payment is an acknowledgment of this entire agreement.
